IndiGo Shareholders Reject Co-promoter Rakesh Gangwal's Special Resolution to Amend Articles of Association(AoA)

Shareholders of InterGlobe Aviation, the parent company of Indigo airline, on Wednesday rejected a special resolution of co-promoter Rakesh Gangwal to amend the company's Articles of Association (AoA)

Co-promoter Rakesh Gangwal had sought removal of articles pertaining to transfer and acquisition of the company's shares, including 'Right of First Refusal' and ' Tag Along Right'

"The Special Resolution has not been passed as the votes cast in favour (48.55 per cent) of the resolution are less than three times the number of votes cast against (51.44 per cent) the resolution," InterGlobe Aviation said in a BSE filing after the extraordinary general meeting held here on Wednesday Jan 29,2020

Rahul Bhatia and affiliates -- InterGlobe Enterprises (IGE) Group -- has around 38 per cent stake in the company and Rakesh Gangwal and his related entities own around 36.64 per cent stake

As per the AoA, if any member of Rahul Bhatia-led IGE Group wants to transfer shares to a third party, then the non-transferring group will have the 'Right of First Refusal' subject to certain conditions

Similarly, the non-transferring group will also have the 'Tag Along Right' wherein it would have the option to sell some part of the shareholding

The differences between co-founders and co-promoters -- Rakesh Gangwal and Rahul Bhatia -- came to the fore in July 2019 after Gangwal sought market regulator Sebi's intervention to address alleged corporate governance lapses at the company. In the wake of the feud, arbitration proceedings are also going overseas between the two promoters' sides

Remembering Mahatma Gandhi(Oct 02,1869 - Jan 30,1948) on his 72nd Death Anniversary Thursday January 30,2020

India observes Gandhi''s death anniversary as Martyrs'' Day in the memory of its freedom fighters.

Mohandas Karamchand Gandhi(Oct 2,1869 - Jan 30,1948) was the preeminent leader of  Indian Nationalism in British Ruled India who employed Non-violent Civil Obedience and led India to independence and inspired movements for non-violence, civil rights and freedom across the world.

Gandhi's Personal Life

Mohandas Karamchand Gandhi was born in in Porbandar, a coastal town which was then part of the Bombay Presidency,British India.

Gandhi's father,Karamchand Gandhi(1822-85) belonged to the Hindu Modh Community, served as the Diwan of Porbandar State,a small Princely State in the Kathiawar Agency of British India.

In May 1883, the 13-year-old Gandhi was married to 14-year-old Kasturbai Makhanji in an arranged child marriage , according to the custom of the region.

In 1885, when Gandhi was 15, the couple's first child was born, but survived only a few days.
Gandhi and Kasturba had 4 more children, all sons -
  • Harilal born in 1888
  • Manilal born in 1892
  • Ramdas born in 1897 and
  • Devdas born in 1900

Gandhi Studied Law in London,U K
In 1888, Gandhi travelled to London, England, to study law at University College London, where he studied Indian law and jurisprudence and to train as a Barrister at the Inner Temple (one of the four (professional associations for Barristers and Judges in London)

Gandhi's attempts at establishing a law practice in Bombay failed because he was too shy to speak up in court. He returned to Rajkot to make a modest living drafting petitions for litigants but was forced to close it when he ran afoul of a British officer.

Gandhi in South Africa

In 1893, he accepted a year-long contract from Dada Abdulla & Co., an Indian firm, to a post in the Colony of  Natal,South Africa ,then part of the British Empire.

Gandhi spent 21 years in South Africa, where he developed his political views, ethics and political leadership skills.

In South Africa, Gandhi faced the discrimination directed at all coloured people. He was thrown off a train at Pietermaritzburg  Railway Station after refusing to move from the first-class. He protested and was allowed on first class the next day.

Travelling farther on by stagecoach, he was beaten by a driver for refusing to move to make room for a European passenger. He suffered other hardships on the journey as well, including being barred from several hotels.

In another incident, the magistrate of a Durban Court ordered Gandhi to remove his turban, which he refused to do

These events were a turning point in Gandhi's life and shaped his social activism and awakened him to social injustice.

Gandhi Returns to India
In 1915, Gandhi returned to India permanently. He brought an international reputation as a leading Indian nationalist, theorist and organizer. He joined the Indian National Congress(INC) and was introduced to Indian issues, politics and the Indian people primarily by Gopala Krishna Gokhale.

Gandhi's first major achievements came in 1918 with the  'Champaran and Kheda Agitations of Bihar and Gujarat. The Champaran agitation pitted the local peasantry against their largely British landlords who were backed by the local administration.

In 1919 Gandhi became 'Khilafat Movement's' most prominent spokesman and attracted a strong base of Muslim support with local chapters in all Muslim centers in India .

Assuming leadership of the Indian National Congress(INC) in 1921, Gandhi led nationwide campaigns for easing poverty, expanding women's rights, building religious and ethnic amity, ending untouchability, increasing economic self-reliance, and above all for achieving Swaraj —the independence of India from British Rule.

In Dec 1929 Lahore session of INC adopts the goal of complete independece-poorna Swaraj for India

Gandhi led Indians in protesting the national salt tax with the 400 km (250 mi) 'Dabdi March' March 12 to April 5, 1930

In March 1931 Gandhi Irwin Pact Signed and Civil Dosobedience Movement Suspended.

Gandhi demanded the British to immediately 'Quit India'  in 1942

In Sep 1942 Subhas Chandra Bose establish the Indian National army (Azad Hind Fauz)

In Oct 1943 Subhash Chandra bose proclaims the formation of Provisional Government of free India

In Dec 1943 Karachi Session of Muslim League adopts the slogan Divide and Quit.

In Feb 1947 Bfritish Prime Minister Clement Atlee declared that the British would leave India by not later than June 1948

In  1948, Mahatma Gandhi is seen ending his last fast, which was intended to persuade Hindus and Muslims to work towards peace

Death - Jan 30,1948
Mahatma Gandhi, the Father of the Nation, was shot at 5-12 p.m. and he died fifteen minutes later. Gandhiji left his room in Birla House for the prayer meeting a few minutes after the conclusion of his talk with Sardar Vallabhbhai Patel. He passed through the garden leaning on the shoulders of Ava Gandhi and Manu Gandhi, grand daughter-in-law and grand niece.
As he walked up the four steps leading to the prayer mandap, a young man, aged about 35, came before Gandhiji and, bending his body forward at a distance of less than two yards, offered pranam. Gandhiji returned the salute, when the young man remarked “You are late to-day for the prayer.” Gandhiji smiled and replied, “Yes, I am”; but just at that moment, the young man pulled out his revolver and rang out three shots from point-blank range, the bullets piercing the frail body of the great leader just below the heart and stomach. Immediately, Gandhiji collapsed; but Ava Gandhi and Manu Gandhi stuck to their place by his side and held him firmly. But that was the last of the Nation’s Father. It was then 5.12 p.m.
The last act Gandhiji did was to lift both his hands as a sign of prayer in the direction of the large gathering which had assembled for the prayer. Thereafter, he was speechless and the loss of blood, at his age and so soon after his fast, made death inevitable. He was beyond medical aid even from the start when shock had its effect. Lord Mountbatten and Cabinet Ministers, including Pandit Jawaharlal Nehru, Sardar Vallabhbhai Patel and Maulana Abul Kalam Azad and others soon arrived. The Ministers present held consultations among themselves as to the future course of action.

The assassin, soon after he fired the shots, was seized by the people who had come to attend the prayer. His revolver — a six-chambered one — and some cash were recovered. It appears he was beaten by the crowd and was slightly injured. The police have taken him into custody and investigation is proceeding. It is learnt that the name of the assassin is Nathuram Vinayak Godse (aged 36), a Mahratta. He described himself as the Editor of a daily paper called Hindu Rashtra published in Laxmipet, Poona.

Mahatma Gandhi's five-hour funeral procession stretched over five and a half miles through the streets of Old and New Delhi, and included some 4,000 troops and more than a million mourners

South Africa's Vernon Philander Retires From International Cricket

South Africa paceman Vernon Philander played his last Test at The Wanderers Stadium,Johannesburgh against England  Jan 24 -28,2020 and  retired from international cricket

Philander, 34, has played 97 matches across all three formats, taking a total of 261 wickets since his debut in 2011, before this game.

In his farewell Test, the last of the four-match series, he could not help South Africa win as the hosts lost to England by 191 runs but the ace medium fast bowler, known for his guile, was celebrated after the match on Day 4 as he was presented with a token.

“I’d like to thank Vern for his services to the Proteas over the years, this team will miss him so, so much. We will sit with him tonight in the dressing room and share in the memories. It’s a lot of effort and time, the sacrifices you make over ten years,” skipper Faf du Plessis said.

It was not a Test to remember otherwise for Philander as he was fined 15 percent of his match fee and handed him one demerit point. Philander received the penalty for his celebration after dismissing England’s Jos Buttler on the second day of the fourth Test at the Wanderers.

Philander had announced before the start of the series that this would be his last in international cricket. In the match, he took two wickets in the first innings and remained wicketless in the second in which he bowled just 1.3 overs. Philander scored 4 and 10 in both innings.

Slovenian PM Marjan Sarec resigns and seeks early election Monday Jan 27,2020

Slovenian Prime Minister Marjan Sarec said he was sending his resignation to parliament on Monday Jan 27,2020 and called for an early election, saying his minority government could not push through important legislation.

The governing coalition of five centre-left parties, which took power in September 2018, held only 43 out of 90 seats in parliament. After losing the informal support of the opposition Left Party in November, it has found it increasingly difficult to get bills through parliament.

"With this coalition, this situation in parliament, I cannot fulfil the expectations of the people," Sarec told a news conference. "I would be able to fulfil them after an election."

Just before his statement, the national news agency STA reported the resignation of Finance Minister Andrej Bertoncelj.

On Friday Jan 24,2020, Bertoncelj issued a statement protesting new legislation proposed by Sarec's LMS party, under which the national budget would cover possible losses of the country's health system, saying that would not be acceptable.

Analysts said the opposition centre-right Slovenian Democratic Party (SDS), which is the largest party in parliament, is likely to try to form a new government. An early election would take place only if that attempt fails.

"The opposition will try to form a new government, but it is hard to say whether they will succeed. What could work in their favour is that parliamentary members might be reluctant to go to election more than two years before their mandate expires

The next regular election is due to take place in the middle of 2022.

SDS holds 26 seats in parliament but could not form a coalition government after the 2018 election.

How China's new coronavirus spread

On December 31, China alerted the World Health Organization (WHO) to several cases of pneumonia in Wuhan, a port city of 11 million people in the central Hubei province. The virus is unknown.

Coronavirus

Several of those infected worked at the city's Huanan Seafood Wholesale Market, which was shut down on January 1,2020

As health experts worked to identify the virus amid growing alarm, the number of infections exceeded  40.

On January 5, Chinese officials ruled out the possibility that this was a recurrence of the severe acute respiratory syndrome (SARS) virus - an illness that originated in China and killed more than 770 people worldwide in 2002-2003.

On January 7, they announced that they had identified a new virus, according to the WHO. The novel virus is from the coronavirus family, which includes SARS and the common cold, and is named 2019-nCoV. Coronaviruses are common and spread through coughing, sneezing, or touching an infected person

On January 11, China announced its first death, a 61-year-old man who had purchased goods from the seafood market. Treatment did not improve his symptoms after he was admitted to hospital and he died on the evening of January 9 when his heart failed.

On January 13, WHO reported a case in Thailand, the first outside of China, a woman who had arrived from Wuhan.

On January 16, Japan's health ministry reported  a confirmed case, a man who had also visited the city.

On January 17, as a second death was reported in Wuhan, health authorities in the United States announced that three airports would start screening passengers arriving from the city.

Authorities in the US, Nepal, France, Australia, Malaysia, Singapore, South Korea, Vietnam and Taiwan confirm cases over the following days.

On January 20, China reported a third death and more than 200 infections, with cases also reported outside Hubei province including in the capital, Beijing, Shanghai and Shenzhen.

On January 22, the death toll in China jumped to 17 with more than 550 infections. Many European airports stepped up checks on flights from Wuhan.

Wuhan was placed under effective quarantine on January 23 as air and rail departures were suspended.

The same measures were announced for two more cities in Hubei province, Xiantao and Chibi.
Beijing cancelled events for the Lunar New Year starting on January 25, while officials reported the first death outside of Hubei.

The WHO said later on January 23 that the outbreak does not yet constitute a public emergency of international concern and there is "no evidence" at the moment of the virus spreading between humans outside of China.

By January 24, the death toll in China stood at 26, with the government reporting more than 830 infections.

The number of cities under shutdown in Hubei rose to 13, affecting 41 million people.
Shanghai Disneyland shut down and some cities announced the closure of entertainment venues. Beijing said a section of the Great Wall and other famous landmarks would also be closed.

On January 25, travel restrictions were imposed on a further five cities in Hubei province, taking the overall number of people affected to 56 Million

Hong Kong meanwhile declared a virus emergency, cancelled Lunar New Year celebrations and restricted links to mainland China.

On January 26, the death toll rose to 56, with almost 2,000 cases confirmed as travel restrictions were increased and Hong Kong closed its Disneyland and Ocean Park theme parks.
New cases were confirmed in the US, Taiwan, Thailand, Japan and South Korea.

As of January 27, the death toll in China had risen to 106, with 100 in Hubei province, authorities reported. Another 4,515 people in China had been infected. There were 2,714 confirmed cases in Hubei province, up from 1,423 the day before

Coronavirus - All U Need To Know

What is Coronavirus?

According to the World Health Organization (WHO), coronaviruses are a family of viruses that cause illness ranging from the common cold to more severe diseases such as Middle East Respiratory Syndrome (MERS) and Severe Acute Respiratory Syndrome (SARS)

These viruses were originally transmitted between animals and people. SARS, for instance, was believed to have been transmitted from civet cats to humans while MERS travelled from a type of camel to humans

Several known coronaviruses are circulating in animals that have not yet infected humans
The name coronavirus comes from the Latin word corona, meaning crown or halo. Under an electron microscope, the image of the virus is reminiscent of a solar corona

A novel coronavirus, identified by Chinese authorities on January 7 and named 2019-nCoV, is a new strain that had not been previously identified in humans

Little is known about it, although human-to-human transmission has been confirmed

What are the symptoms?

According to the WHO, signs of infection include fever, cough, shortness of breath and breathing difficulties

In more severe cases, it can lead to pneumonia, severe acute respiratory syndrome, kidney failure and even death

The incubation period of the coronavirus remains unknown. Some sources say it could be between 10 and 14 days

2019 Costa Book of the Year - The Volunteer, Auschwitz Resistance Biography Wins Tuesday Jan 28,2020

The Volunteer, a biography of a Polish resistance fighter who infiltrated the Nazi death camp at Auschwitz, has won the Costa Book of the Year award

The book, by former war reporter Jack Fairweather, beat four other titles to the prize on the day after the 75th anniversary of the camp's liberation

It is the second year running that a biography exploring this period of history has won the £30,000 prize.

Fairweather said he had been inspired to write "a story lost to history"

The Welsh author's book tells of Witold Pilecki, who volunteered to be imprisoned in Auschwitz in 1940

There he sabotaged facilities, gathered evidence of the mass murder of the Jews and spread news of the Holocaust to the Allies.

Pilecki escaped in 1943 and later fought in the Warsaw Uprising of 1944

Executed in 1948 by Poland's communist regime, his story did not become widely known until the 1990s.

Fairweather's book was named best biography of 2019 earlier this month alongside four other Costa category winners:
  • First novel - The Confessions of Frannie Langton by Sara Collins
  • Novel - Middle England by Jonathan Coe
  • Poetry - Flèche by Mary Jean Chan
  • Children's book - Asha & the Spirit Bird by Jasbinder Bilan
Tuesday's ceremony in central London also saw US-born writer Anna Dempsey receive the 2019 Costa Short Story Award.

Dempsey, a teacher in south-east London, won the £3,500 prize for her story The Dedicated Dancers of the Greater Oaks Retirement Community.

The Costa Book Awards, formerly the Whitbread Book Awards, were established in 1971 to encourage, promote and celebrate the best contemporary British writing.

BREXIT - European Parliament is set to approve the terms of the UK's departure from the European Union Wednesday Jan 29,2020

The European Parliament is set to approve the terms of the UK's departure from the European Union in an historic vote on Wednesday Jan 29,2020

The 751 representatives will debate the Brexit Withdrawal Agreement in Brussels before, it is widely expected, giving their backing to the UK-EU treaty

The landmark session is set to feature valedictory speeches and even music

It will mark the final stage of the ratification process, ahead of the UK's exit at 23:00 GMT on 31 January.

The UK participated in its last meeting as an EU member on Tuesday when Foreign Office minister Chris Pincher attended the General Affairs Council.

The European Parliament's approval is the final hurdle to be cleared for Brexit to go ahead.

The proceedings will be an opportunity for those on either side of the Brexit battles of recent years, including the UK's 73 MEPs, to celebrate or lament the end of the UK's membership of the EU after 47 years.
